This end-user license agreement outlines the terms and conditions for the use of the solutions that are provided by Zimbra Converter Tools. Secondly, you agree to comply with this license agreement by installing, accessing, and using our solutions.
This Software License is deemed part of, and subject to, the terms of the Agreement applicable to both parties.
Software License Terms and Ownership Information
We hereby grant to customers a worldwide, perpetual, non-exclusive, non-transferable license to all software for Customer’s use in connection with the establishment, use, maintenance, and modification of the system implemented by our solutions. The solutions shall mean a block of executable codes, patches, designs, scripts, etc. that make the program properly functioning as delivered by us and accepted by the customer.
We at all times own all intellectual property rights in the software. All licenses, product warranties, or service contracts provided by third parties in connection with any software, hardware, or other software or services provided in the system shall be delivered to Customer for the sole benefit of Customer.
The customer may supply solutions or allow the software to use certain proprietary information, including service marks, logos, graphics, software, documents, and business information and plans that have been authored or pre-owned by the customer. All such intellectual property shall remain the exclusive property of the customer and shall not be used by our solutions for any purposes other than those associated with the delivery of the system.
Software Usage, Copying, and Modification Policies
Customers may make copies of the software for archival purposes and as required for modifications to the system. All copies and distribution of the software shall remain within the direct control of Customer and its representatives.
Customers cannot modify or copy the source code of the solution. In no way does this Software License confer any right in the customer to license, sublicense, sell, or otherwise authorize the use of the software, whether in executable form, source code, or otherwise, by any third parties, except in connection with the use of the system as part of customer’s business.
All express or implied warranties relating to the software shall be deemed null and void in case of any modification to the software made by any party other than us.
Software Warranties and User Responsibilities
We represent and warrant to the customer that we have all necessary rights and authority to execute and deliver this Software License and perform its obligations hereunder and to grant the rights granted under this Software License to the customer.
The software, as delivered as part of the system, will not infringe or otherwise violate the rights of any third party, or violate any applicable law, rule, or regulation.
The goods and services provided by the contractor under this software license, including the software and all intellectual property provided hereunder, are original to Zimbra Converter or its subcontractors or partners.
We further represent and warrant that, throughout the System Warranty Period, the executable object code of software and the system will perform substantially following the system specifications and agreement. If the software fails to perform as specified and accepted all remedies are according to the policies outlined in the Specification and the Agreement. No warranty of any type or nature is provided for the source code version of the software which is delivered.
Reimbursement and Protection from Legal Claims
We promise to protect and defend the customer and their associated companies, employees, and representatives from any costs, damages, or legal issues, including attorney fees, if our software causes legal problems for the customer.
The customer agrees to protect and defend Zimbra Converter, along with its affiliates, employees, and representatives, from any costs, damages, or legal issues, including attorney fees, resulting from the misuse of software such as in situations where such use violates the rights of others.
Understand Your License and Termination Rights
The life of the license for the software is only one year concerning the date of activation. During this license period, the customer is provided free updates on the solution and one year of live technical support.
The license will get terminated from either side in case of a material breach of terms or mutual agreements. After the end of the license period, the customer must cease the use of the software. The customer is not entitled to any update or technical support after the end of the license period.
Acknowledgment of EULA (End User License Agreement)
By installing, accessing, or using the software, the customer confirms that they have read, understood, and agree to be bound by the terms and conditions of this End User License Agreement (EULA). If the customer does not agree to these terms, they should not install, access, or use the software.
